Last updated: 1 July 2025
1. About these terms
These Terms of Service (the “Terms”) form the agreement between you (the “Client”) and V Connect Future Pty Ltd (ABN 92 699 105 158) (“V Connect Future”, “we”, “us” or “our”). By requesting a quote, accepting a proposal, engaging our services or otherwise using this website, you agree to be bound by these Terms.
If there is any inconsistency between these Terms and a signed engagement letter or accepted proposal prepared for a specific project, the signed engagement letter or accepted proposal will prevail to the extent of the inconsistency.
2. Who we are
V Connect Future Pty Ltd is an Australian company based in Melbourne VIC, providing professional business and consulting services. These include, without limitation, business strategy and planning, operational advisory, process improvement, market and feasibility research, administrative support and related consulting services, as further described on our Services page.
3. Quotes and engagements
- Quotes provided by us are valid for 30 days from the date of issue unless otherwise stated in writing.
- A quote may be accepted by email confirmation, written acceptance of a proposal, or payment of a deposit or first invoice, at which point a binding engagement is formed on these Terms.
- Each quote sets out the scope of services, deliverables, estimated timeframes and applicable fees for that engagement.
- Work outside the agreed scope will only commence after a written variation and any agreed adjustment to fees and timeframes.
4. Fees, invoicing and payment
- All fees are quoted in Australian dollars (AUD) and, unless expressly stated otherwise, exclude GST.
- Invoices are payable within 14 days of the invoice date unless a different term is agreed in writing.
- We may require a deposit or progress payments before or during an engagement, as set out in the relevant quote.
- Overdue amounts may attract interest at a rate of 1.5% per month on the outstanding balance, and we may suspend services until arrears are paid.
- Reimbursable expenses (such as travel, software licences or third-party data purchases) will be pre-approved in writing and invoiced at cost.
- If you have a question about an invoice, please contact us by email at ceo@vconnectfuture.online within 7 days of the invoice date.
5. Client responsibilities
To enable us to perform our services effectively, you agree to:
- Provide accurate, complete and timely information, documents and access reasonably required for the engagement;

- Comply with all applicable laws in connection with your use of our services and deliverables.
6. Intellectual property
- All pre-existing intellectual property owned by either party remains the property of that party.
- Upon full payment of our fees, you own or are licensed to use the final deliverables created specifically for you under the engagement, for your internal business purposes.
- We retain ownership of our methodologies, templates, frameworks, tools and know-how, which may be reused in our business.
- Where we provide you with draft or interim materials, those materials remain our property until the related invoice is paid in full.
7. Confidentiality
Both parties will keep confidential all non-public information received from the other party in connection with an engagement, and will not disclose it except as required to perform the services, with your consent, or as required by law. This obligation survives the end of an engagement.
8. Australian Consumer Law guarantees
Nothing in these Terms excludes, restricts or modifies any rights, remedies or guarantees you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded. Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including that services will be rendered with due care and skill, will be fit for any purpose made known to us, and will be supplied within a reasonable time when there is no fixed period agreed.
To the fullest extent permitted by law, our liability for a failure to comply with a consumer guarantee is limited, where the services are not of a kind ordinarily acquired for personal, domestic or household use, to one or more of the following: the supplying of the services again, or the payment of the cost of having the services supplied again.
9. Limitation of liability
Subject to clause 8, and to the extent permitted by law:
- We are not liable for indirect, incidental or consequential loss, including loss of profit, revenue, goodwill or data, arising from the services;
- Our total aggregate liability arising out of or in connection with an engagement is limited to the fees actually paid by you for that engagement;
- We rely on the accuracy of information you provide, and we are not liable for outcomes arising from inaccurate, incomplete or misleading information supplied by you;
- Any advice, reports or deliverables are prepared for your internal business purposes based on the scope agreed, and we are not liable for reliance on them by third parties or for purposes outside that scope.
10. Privacy
We collect, use and store personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. Please read that policy to understand how we handle your personal information.
11. Suspension and termination
- Either party may terminate an engagement by giving 14 days’ written notice, or immediately if the other party commits a material breach that is not remedied within 7 days of written notice.
- You remain liable for all fees, expenses and committed costs incurred up to the date of termination.
- On termination, we will deliver to you all paid-for, completed work product where reasonably practicable.
12. Force majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, pandemics, strikes, internet or utility outages, or acts of government. Affected timeframes will be extended reasonably, and either party may terminate an engagement that remains materially affected for more than 30 days.
13. Disputes and governing law
If a dispute arises, both parties agree to first attempt to resolve it in good faith by direct discussion. If it is not resolved within 30 days, the parties may agree to mediation before commencing proceedings. These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria.
14. Changes to these Terms
We may update these Terms from time to time by publishing a revised version on this page.
